Terms of Service
These Terms govern access to the Sitecraft Studios website and the purchase or use of website design, development, setup, redesign, optimization, maintenance, and support services.
1. Acceptance and Contract Structure
By using the website, submitting a project request, approving a proposal, paying an invoice, or authorizing work, the client agrees to these Terms. A signed proposal, statement of work, order form, invoice, project brief, or written approval may add project-specific terms.
If project-specific terms conflict with these general Terms, the project-specific terms control only for that engagement. All other provisions remain effective.
2. Eligibility and Authority
Clients must be at least eighteen years old and legally capable of entering a binding agreement. A person acting for a business, organization, or other entity represents that they have authority to bind that entity.
3. Services
Services may include custom website design, front-end development, landing page creation, e-commerce website setup, website redesign, performance optimization, content organization, layout adjustments, technical troubleshooting, maintenance, and related remote support.
The exact deliverables, platform, page count, revision allowance, integrations, timeline, technical assumptions, and exclusions are defined in the applicable proposal or written scope. Anything not expressly included is outside scope and may require a separate estimate.
4. Estimates, Proposals, and Scope Changes
Website prices displayed publicly are starting prices, not binding quotes. Final pricing depends on complexity, content volume, number of templates or pages, custom functionality, integrations, e-commerce requirements, accessibility work, data migration, deadlines, and client readiness.
A change request includes any material addition, replacement, rework, new page, new feature, altered direction, expanded compatibility requirement, additional revision, or request based on information not supplied before approval. Change requests may affect fees and schedule and require written approval.
5. Payments and Taxes
Payment schedules are stated in the proposal or invoice. Deposits reserve production capacity and authorize commencement. Unless otherwise stated, invoices are due upon receipt. Work may pause when payment is late.
Clients are responsible for applicable sales, use, value-added, withholding, or similar taxes, excluding taxes based on Sitecraft Studios income. Third-party fees such as hosting, domains, premium themes, apps, plugins, stock assets, fonts, licenses, payment processing, or platform subscriptions are separate unless expressly included.
6. Client Responsibilities
The client must provide accurate instructions, timely approvals, consolidated feedback, lawful content, brand files, credentials, product information, policies, and access reasonably required for the work. The client must designate an authorized decision-maker.
Delays caused by missing materials, changing instructions, unavailable decision-makers, platform restrictions, third-party vendors, or late feedback may extend the schedule. If a project remains inactive for more than thirty days, it may be archived and restart fees may apply.
7. Content and Legal Compliance
The client represents that it owns or has permission to use all content, trademarks, images, product information, data, software, and materials supplied for the project. The client is responsible for the accuracy and legality of website claims, offers, prices, policies, disclosures, accessibility requirements, privacy practices, regulated-industry obligations, and consumer communications.
Sitecraft Studios may refuse or suspend work involving unlawful, deceptive, infringing, abusive, malicious, or technically unsafe content.
8. Review, Acceptance, and Launch
Deliverables are reviewed through the process identified for the project. The client must test content, links, forms, products, prices, contact information, device behavior, and integrations before launch. Written approval, publication, production use, or failure to identify a material issue within the stated review period constitutes acceptance.
Minor defects that do not materially prevent intended use do not justify rejection of the entire project. We will address reproducible issues that fall within the approved scope and any stated correction period.
9. Intellectual Property
Ownership and licensing are governed by the Intellectual Property Policy and the applicable proposal. Unless otherwise agreed, final custom deliverables created specifically for the client transfer only after all related invoices are paid. Sitecraft Studios retains ownership of pre-existing tools, reusable methods, frameworks, know-how, processes, generic code, and internal production assets.
10. Third-Party Platforms
Services may depend on Shopify, hosting providers, domain registrars, content management systems, app developers, payment gateways, analytics providers, or other third parties. Their availability, pricing, security, policies, features, and compatibility are outside our control.
We are not responsible for third-party outages, account suspensions, policy changes, abandoned software, API changes, data loss, or service discontinuation. The client is responsible for maintaining valid accounts and subscriptions.
11. Warranties and Disclaimers
Services will be performed with reasonable professional care. Except for express written commitments, services and deliverables are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted operation, specific sales, traffic, rankings, conversion rates, revenue, accessibility certification, legal compliance, or compatibility with future technologies.
12. Limitation of Liability
To the maximum extent permitted by law, Sitecraft Studios is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost revenue, profits, savings, opportunities, goodwill, or data; business interruption; or claims arising from third-party platforms.
Aggregate liability arising from a specific project will not exceed the fees actually paid to Sitecraft Studios for the affected services during the six months preceding the event giving rise to the claim.
13. Indemnification
The client will defend, indemnify, and hold Sitecraft Studios harmless from claims, losses, liabilities, and reasonable costs arising from client content, unlawful instructions, infringement allegations relating to supplied materials, misuse of deliverables, failure to maintain security, or violation of law or third-party terms.
14. Suspension and Termination
We may suspend or terminate services for nonpayment, abuse, unlawful activity, security risk, material breach, repeated failure to cooperate, or conduct that makes continued performance impracticable. The client may terminate subject to the applicable proposal and Payment, Cancellation & Refund Policy.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Before filing a formal claim, the parties will attempt in good faith to resolve the issue through written notice and direct discussion. Unless prohibited by law, proceedings must be brought in a court with jurisdiction in Wyoming.
16. General Provisions
Neither party is liable for delay caused by events beyond reasonable control. The client may not assign an agreement without written consent, except in connection with a legitimate transfer of the business. If any provision is unenforceable, the remaining provisions continue. Failure to enforce a provision is not a waiver. Electronic communications and approvals are binding.
