Intellectual Property Policy

This Policy explains ownership of client materials, custom deliverables, reusable studio resources, third-party assets, portfolio use, source files, and restrictions on unauthorized copying.

1. Client Materials

The client retains ownership of trademarks, logos, written content, photographs, data, product information, and other materials supplied by the client. The client grants Sitecraft Studios a limited license to use, reproduce, modify, adapt, and display those materials solely as necessary to perform the services.

The client represents that it owns or has sufficient rights to every supplied asset and that our authorized use will not infringe or violate another party’s rights.

2. Custom Deliverables

“Custom Deliverables” means final layouts, custom front-end code, custom graphics, and other project-specific work expressly identified in the proposal. Unless otherwise agreed, ownership of final Custom Deliverables transfers to the client only after full payment of all invoices related to the project.

Drafts, rejected concepts, unused directions, tests, experiments, internal notes, and preliminary files do not transfer unless expressly included.

3. Studio Materials and Reusable Components

Sitecraft Studios retains ownership of pre-existing and reusable materials, including methods, processes, know-how, design systems, component patterns, code utilities, snippets, frameworks, templates, internal tools, generic layouts, development techniques, documentation structures, and improvements that are not uniquely identifiable as the client’s confidential information.

When Studio Materials are embedded in a paid deliverable, the client receives a perpetual, non-exclusive license to use them as part of that deliverable for the client’s business. The client may not extract and resell Studio Materials as standalone products.

4. Third-Party Materials

Fonts, stock photographs, themes, plugins, apps, libraries, software, icons, video, code packages, and platform components may be owned by third parties and remain subject to their licenses. Ownership does not transfer merely because the item is incorporated into a website.

The client is responsible for maintaining required subscriptions and complying with license limits after handoff. Some licenses may restrict transfer, number of users, number of domains, modification, or redistribution.

5. Open-Source Software

Open-source software remains governed by its applicable license. Nothing in a proposal overrides open-source attribution, notice, source availability, or redistribution requirements.

6. Source Files and Editable Files

Delivery of a published website does not automatically include every internal working file, design exploration, development environment, raw asset, or licensed source file. Included source or editable files must be identified in the proposal.

Where editable files are supplied, third-party licenses and software compatibility remain the client’s responsibility.

7. Portfolio and Attribution

Unless the client requests confidentiality in writing before public launch, Sitecraft Studios may identify the client and display publicly released work in a portfolio, case study, proposal, award submission, social proof presentation, or professional archive. Confidential information, private analytics, credentials, and unpublished business data will not be intentionally disclosed.

Any website credit or attribution requirement must be stated in the proposal. The client may request removal of optional attribution from the live website.

8. Restrictions

No person may copy, scrape, reproduce, republish, sell, license, reverse engineer, or distribute Sitecraft Studios website content, proposals, pricing documents, templates, internal tools, or protected materials except with written permission or as allowed by law.

9. Feedback

General feedback and suggestions may be used to improve services, methods, and tools without compensation, provided we do not disclose confidential client information.

10. Infringement Concerns

A person who believes material on our website infringes intellectual property rights should provide identification of the work, identification and location of the disputed material, contact details, a statement of good-faith belief, and a statement that the notice is accurate and authorized.

We may remove or restrict disputed material while investigating. False or abusive notices may create liability.
